EVENT TERMS

Generally.

Through the Website, Nizo Group, LLC (“Doggizen”, “we”, “us” or “our”) may, from time to time, offer access to certain Events (as defined in our Terms & Conditions [hyperlink]), hosted by us or certain third-parties. By signing up, registering, or otherwise attending and/or participating in an Event, you hereby agree to these Event Terms, as further set forth herein. You may not under any circumstances attend or participate in an Event if you do not agree with these Event Terms.

To participate in or attend any such Event, you must complete the Event registration process and pay any registration fee. Unless the Event’s registration webpage specifies otherwise or we expressly inform you otherwise, you must be at least eighteen (18) years of age on the first day of the Event. Event registration is subject to availability and may close earlier than the posted deadline, as determined in our or the applicable Partner’s (the “Event Host”) sole discretion. The Event Host may also change the Event program at any time in our or its sole discretion. You will at all times comply with our Terms & Conditions.

In addition, you must comply with all rules, requirements, guidelines, and other terms and conditions as may be presented to you through the Website at the time of registering for such Event and/or at the Event (“Event Rules”). By registering or signing up for an Event, you acknowledge and agree to all such Event Rules. You further agree that ticketing to an Event may be hosted by a third-party provider, such as Eventbrite®, and further that by requesting a ticket to or otherwise attending an Event, you agree to any and all of such third-party’s terms and policies as presented or indicated to you through the Website. Partner Events.

Some Events may be hosted by a third party other than Doggizen (each, a “Partner”), as further detailed on the relevant Event page on the Website. Such page may include Event Rules and other details and terms for how you can purchase a ticket and obtain access to the Event. In some instances, the Partner will give you a unique link or code to use on its own website, and in other instances it may specify certain actions you must take to redeem in person. You acknowledge and understand that any such code, link, or other information relating to the Partner Event shall not be copied, distributed, sold, or otherwise shared with any other person. You agree that a valid form of identification as well as a confirmation of your registration for the Event may be required by the relevant Partner in order to verify your identity and receive access to the Partner Event. In the event that you are unable to attend a Partner Event for which you have purchased a ticket, you must contact the relevant Partner directly in order to discuss whether a refund or credit is available. 

You acknowledge and agree that while Doggizen helps connect you with Partner Events, we do not organize, host, or otherwise provide the Partner Events. Inclusion of a Partner Event on the Website does not amount of an endorsement of such Event or Partner, any part of an Event, including the quality of any goods or services offered thereunder, safety and condition of any venues or physical locations that you may visit, and the truth or accuracy of any Partner Event Rules are ultimately yours and such Partner’s responsibility. Further, while Doggizen may take reasonable actions, as determined in its sole discretion, including vetting applications from Partners to list their Events on the Website, Doggizen ultimately has no control over, and hereby disclaims all liability for, the truth or accuracy of any and all information or content provided by Partners, your interactions with a Partner, the actions or omissions of any Partner, the quality of a Partner Event, or the ability of a Partner to fully provide the Partner Event in a timely manner, if at all. Doggizen further makes no guarantees, representations, or warranties that the Partner Event will ultimately meet your satisfaction.

Safety and Security.

Your safety and security is important to us. You understand that you and your property may be subject to a reasonable search upon entry to the Event by the Event Host and its Event staff and personnel, and you may be asked to provide photo identification. If you refuse to participate in these security measures, the Event Host may deny you entry. The Event Host also reserves the right to ask you to leave the Event if your behavior causes concern for the safety or security of Event attendees. If the Event Host denies you entry or require you to leave, you will not receive a refund.

Recordings and Your Materials.

You hereby grant us, our affiliates, and our independent contractors, the right to record, film, photograph, and capture your voice and image in any media at the Event (the “Recordings”). You grant to us and our affiliates, agents, employees, and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, distribute, and translate, for any purpose relating to our business, all or any part of the Recordings and Your Materials.  We may edit the Recordings and Your Materials, use them alone or together with other information, and allow others to use and disseminate them. To the maximum extent permitted by law, you waive any moral rights you may have in the Recordings and Your Materials. You represent and warrant that (a) Your Materials are true and accurate to the best of your knowledge, (b) you have the necessary rights and permissions to grant the license contained herein, and (c) Your Materials do not violate or infringe any copyright, trademark, or other proprietary rights of any person or entity. "Your Materials" means all materials submitted (including, for example, your name and biographical information) or presented by you (in electronic copy or hard copy, verbally, or otherwise) in connection with an Event.

Any Personally-Identifying Information you send, submit, or otherwise share with us shall be subject to our Privacy Policy [hyperlink], to which you hereby expressly agree. 

Cancellation.

By You. If registration fees or other fees are required for the Event, cancellation instructions and the Event’s refund policy will be listed on the Event’s registration webpage.

By the Event Host. The Event Host may cancel the Event at any time for reasons including, for example, availability or suitability of venue or speakers or on security, health, or safety grounds, and may deny, limit, or cancel your Event registration at any time. The Event Host is not responsible for any damages, direct or indirect, resulting from such cancellation. If the Event Host cancels the Event or your registration and you are in compliance with these Event Terms and any applicable Event Rules, you may be eligible for a refund of your Event registration fee in accordance with the applicable refund policy, if any.

Assumption of Risk; COVID-19.

You acknowledge that you fully understand that the novel coronavirus SARS-CoV-2 and any resulting disease (together with any variation thereof, "COVID-19") is an extremely contagious disease that can lead to severe illness and death, and there is an inherent danger and risk of exposure to COVID-19 in any place where people are present; no safety protocols can eliminate the risk of exposure to COVID-19; while people of all ages and health conditions can be and have been adversely affected by COVID-19, according to the Center for Disease Control and Prevention (CDC) and other public health authorities: (a) people with certain underlying medical conditions are or may be especially vulnerable; and (b) the risk of severe illness from the contraction of COVID-19 increases steadily with age, and contracting COVID-19 can result in the further transmission of COVID-19 to your spouse, family members, and other persons in proximity to you; and exposure to COVID-19 can result in subsequent quarantine, illness, disability, other short-term and long-term physical and/or mental health effects, and/or death, regardless of age or health condition at the time of exposure and/or infection.

 

You hereby acknowledge and agree that in the absence of any negligence or other breach of duty by Doggizen, your attendance and participation in the Event is voluntary, and you understand the nature of the Event. To the maximum extent permitted by law, you agree that you solely assume the risks associated with attending and participating in the Event.

Release of Claims.

To the maximum extent permitted by law, you (for yourself, your heirs, dependents, personal representatives, assigns, and anyone else who might make a claim on your behalf or as a result of your death or injury) hereby release Doggizen and its affiliates, and their respective directors, officers, employees, contractors, representatives, agents, successors, and assigns, from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs and expenses (including without limitation reasonable attorneys’ fees and costs) that you may have now or in the future associated in any way with the Event, the Recordings, Your Materials, and any applicable Partner.

Limitations of Liability.

WE AND OUR AFFILIATES AND LICENSORS WILL NOT BE LIABLE TO YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR (B) LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. IN ANY CASE, OUR AND OUR PARTNERS’, AFFILIATES’, AND LICENSORS’ AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED USD $100. THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Miscellaneous.

Waiver. The failure by us to enforce any provision of these Event Terms will not constitute a present or future waiver of such provision nor limit our right to enforce such provision at a later time. All waivers by us must be in writing to be effective.

Severability. If any portion of these Event Terms is held to be invalid or unenforceable, the remaining portions of these Event Terms will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from these Event Terms, but the rest will remain in full force and effect.

Force Majeure. We and our affiliates will not be liable for any delay or failure to perform any obligation under these Event Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, electrical or power outages, utilities or other telecommunication failures, earthquake, storms, or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

Assignment; No Third Party Beneficiaries. You will not assign or otherwise transfer these Event Terms or any of your rights and obligations under these Event Terms, without our prior written consent. Any assignment or transfer in violation of this section will be void. We may assign these Event Terms without your consent (a) in connection with a merger, acquisition, or sale of all or substantially all of our assets or (b) to any affiliate or as part of a corporate reorganization; and effective upon such assignment, the assignee is deemed substituted for Doggizen as a party to these Event Terms, and Doggizen is fully released from all of its obligations and duties to perform under these Event Terms. Subject to the foregoing, these Event Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns. These Event Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Event Terms.

Governing Law. The laws of the State of Florida, without reference to conflict of law rules, govern these Event Terms and any dispute of any sort that might arise between the parties. The United Nations Convention for the International Sale of Goods does not apply to these Event Terms.

Dispute. ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO THESE TERMS WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU MAY TO THE MAXIMUM EXTENT PERMITTED BY LAW ASSERT CLAIMS IN SMALL CLAIMS COURT. ARBITRATION SHALL BE HELD IN THE MANNER SET FORTH IN OUR TERMS & CONDITIONS [hyperlink].

Modifications to these Event Terms. We may modify these Event Terms at any time by posting a revised version on the Website. The modified terms will become effective upon posting. By attending the Event after the effective date of any modifications to these Event Terms, you agree to be bound by the modified terms. It is your responsibility to check the Website regularly for modifications to these Event Terms. We last modified these Event Terms on the date listed at the end of these Event Terms.

Entire Agreement; English Language. These Event Terms are the entire agreement between you and us regarding the subject matter of these Event Terms. These Event Terms supersede all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of these Event Terms. We will not be bound by, and specifically object to, any term, condition, or other provision that is different from or in addition to the provisions of these Event Terms (whether or not it would materially alter these Event Terms). If we provide a translation of the English version of these Event Terms, the English version of these Event Terms will control if there is any conflict.
